Article 1. Definitions
1.1 Subsidies.io: Subsidies.io BV located in Amsterdam at Prins Hendrikkade 21e, KvK 96910836, VAT NL867829072B01, e-mail legal@subsidies.io.
1.2 Customer: the legal person or entrepreneur who uses the Service or concludes an agreement with Subsidies.io (B2B only).
1.3 Service: Subsidies.io's online platform that allows the Customer to perform AI-driven subsidy scans and optionally receive notifications.
1.4 Scan: one processing process based on business and project data provided by the Customer, resulting in indicative subsidy results.
1.5 Credits: pre-paid units that allow the Customer to purchase additional Scans and/or notifications, insofar as offered as such by Subsidies.io.
1.6 Subscription: an annual license for one company (KvK) with access to Scans and/or notifications according to the chosen plan.
1.7 Documentation: descriptions, instructions, and product information provided by Subsidies.io for the Service.
1.8 Third-party services: components provided by third parties (including hosting, LLM/AI providers, payment processors).
1.9 Partner: a selected third party who can support next steps (e.g. request guidance).
Article 2. Applicability and order of precedence
2.1 These Terms and Conditions apply to every offer and agreement between Subsidies.io and Customer and to any use of the Service.
2.2 Customer's general purchasing or other terms and conditions do not apply.
2.3 In the event of a conflict, an order/subscription agreed in writing, then these Terms and Conditions, then the Documentation and any attachments (if applicable), prevail.
2.4 The Dutch and English versions can co-exist. In the event of any discrepancies between the Dutch and English versions, the Dutch version prevails.
Article 3. Account and B2B Statement
3.1 Use is only allowed for business users aged 18 and over who act for or on behalf of a company.
3.2 The Customer guarantees the accuracy and completeness of account and company information and for the authorization of users within its organization.
3.3 Subsidies.io may verify accounts and may refuse or terminate accounts in the event of abuse, suspicion of fraud, or violation of these Terms and Conditions or applicable law.
Article 4. Description of the Service
4.1 The Service provides indicative results; it is not legal, tax or subsidy advice. Human assessment remains required. Subsidies.io does not guarantee that a grant will be awarded or that all possible subsidies will be identified.
4.2 Subsidy information is updated periodically; the availability and accuracy of external sources (e.g. official websites) may change.
4.3 Subsidies.io may modify, expand, limit or terminate the Service (or components). Where reasonable, Subsidies.io strives for minimal disruption.
Article 5. Free scan and fair use
5.1 One free Scan per account: 1 company (KvK) + 1 project. Subsidies.io can perform additional validations and refuse free scans or declare them invalid afterwards if abuse is suspected.
5.2 Fair use: Subsidies.io may apply, throttle or temporarily suspend rate limits in case of excessive or abnormal use, or technical/safety risks.
5.3 By using the free Scan, Customer agrees that Subsidies.io uses the provided email address for sending newsletters and product updates. The customer can unsubscribe free of charge at any time via the unsubscribe link.
Article 6. Credits, Notifications and Subscriptions
6.1 The current rates and product descriptions are in the platform or in the order confirmation. All amounts do not include 21% VAT.
6.2 Payment takes place online via the payment methods offered by Subsidies.io. Invoices are made available digitally.
6.3 Credits expire 12 months after purchase. Expired or unused Credits are non-refundable.
6.4 Refund policy: A leniency arrangement applies to paid Scans: if a Scan contains no relevant results, the Customer can have a replacement Scan performed for another project free of charge within 30 days of delivery. There is no refund.
6.5 Subscriptions have a term of 12 months and renew automatically for 12 months, unless Customer cancels no later than the day before renewal via account settings or by email. Installments paid are not credited in the event of early cancellation.
6.6 Price changes and indexation: Subsidies.io may change prices and index them annually. Changes apply to new purchases and upcoming renewals. For current subscriptions, Subsidies.io reasonably informs in advance by email or in-app; Customer can cancel before renewal.
Article 7. Customer's obligations and behavior
7.1 Customer only uses the Service for its own internal business purposes and not for competitive analysis, benchmarking at scale or forwarding to third parties, unless permitted in writing.
7.2 Prohibited include: unlawful use; circumventing or attempting to circumvent security measures or rate limits; scraping, harvesting, spidering; reverse engineering; massive or automated retrieval of data outside the provided interfaces; account sharing or use by unauthorized persons.
7.3 In the event of (suspected) violation or risk to the Service/Third Parties, Subsidies.io may take immediate measures, including suspension or termination.
Article 8. Intellectual Property and Licenses
8.1 All intellectual property rights in the Service, software, models, databases and Documentation are owned by Subsidies.io or its licensors.
8.2 Input/Input: all data provided by the Customer (including business and project information) remains the property of the Customer. Customer grants Subsidies.io a non-exclusive, worldwide, royalty-free license to host, copy, process and use the Input to provide and secure the Service and to improve quality based on anonymized/aggregated data.
8.3 Output: the reports and analyses generated by the Service may be used internally by the Customer. Redistribution or disclosure to third parties is only allowed for internal business communications with Customer stakeholders; commercial resale or publication at scale is not allowed without prior written consent.
8.4 Benchmarks/statistics: Subsidies.io may publish or use anonymised/aggregated statistics (without traceability to Customer).
Article 9. Data, Privacy and Security
9.1 Processing of (personal) data takes place in accordance with Subsidies.io's privacy statement. For direct scans, Subsidies.io is responsible for processing; for scans via an intermediary, Subsidies.io acts as the processor of that intermediary. If Subsidies.io acts as (sub) processor, a separate processing agreement (DPA) applies upon request.
9.2 Customer does not process special categories of personal data via the Service and provides a lawful basis for all data provided.
9.3 Subsidies.io does not use personal data for model training; quality improvement takes place with anonymized/aggregated data. Storage, security, retention periods and transfers are as described in the privacy statement.
9.4 Subsidies.io takes appropriate technical and organizational measures, but does not guarantee that security is effective under all circumstances.
9.5 Subsidies.io may forward relevant data to a Partner to support next steps. Customer can allow or refuse this sharing in advance and unsubscribe later free of charge. In Scans that take place via an intermediary, sharing with a Partner takes place only on the instructions of that intermediary.
Article 10. Third-party services
10.1 The Service may include third-party components or content. Additional terms and conditions may apply to those components. Subsidies.io is not liable for the performance of Third-Party Services.
10.2 Failures or changes to Third Party Services may affect the Service; Subsidies.io is entitled to modify the Service to accommodate such changes.
Article 11. Confidentiality
11.1 Parties keep each other's confidential information confidential. Information is confidential if it has been disclosed or is evident from its nature. However, provision is permitted if legally required or necessary for the execution of the agreement.
11.2 Provision to a Partner is permitted to the extent necessary for execution as described in article 9.5, taking into account data minimization and Customer's choices.
Article 12. Maintenance, Support and Availability
12.1 Maintenance can take place at any time. Subsidies.io strives for good availability.
12.2 Questions and reports can be sent to legal@subsidies.io. Response times are without obligation.
Article 13. Warranties and Disclaimers
13.1 The Service is provided “as is”. Subsidies.io makes no warranties about errorlessness, completeness, or fitness for a particular purpose.
13.2 The Customer remains responsible for assessing subsidy schemes and for complying with applicable laws, regulations and conditions of subsidy providers.
Article 14. Suspension and termination
14.1 Subsidies.io may immediately suspend or terminate (parts of) the Service in the event of violation of the Terms and Conditions, abuse, non-payment, security risk, or by order of competent authorities.
14.2 Customer can cancel the account at any time. Remaining Credits expire; no refund will be made. Subscriptions end at the end of the current contract period; interim refunds are excluded.
14.3 After termination, Customer may request an export of available reports within 30 days; thereafter, Subsidies.io may delete data in accordance with the privacy statement

Article 15. Liability and Indemnification
15.1 Subsidies.io's total liability for attributable shortcoming or otherwise is limited per year to the amount paid by the Customer in the 12 months prior to the claim (excluding VAT). For free services (including the free Scan), total liability is limited to €100.
15.2 Subsidies.io is not liable for indirect damage, consequential damage, loss of profit or turnover, loss of opportunities (including missed subsidy opportunities), reputational damage, or damage due to failures of Third Party Services.
15.3 The restrictions expire in the event of intent or deliberate recklessness on the part of Subsidies.io's management.
15.4 Customer indemnifies Subsidies.io against third-party claims related to data or content provided by Customer via the Service or use in violation of these Terms and Conditions or the law.
Article 16 Force majeure
16.1 Neither party is obliged to comply in the event of force majeure, including failures in suppliers or third-party services, internet/network failures, (cyber) incidents, government measures, war, strikes and pandemics.
16.2 If force majeure lasts longer than 60 days, each party may terminate the agreement without obligation to pay compensation; services already delivered will be paid pro rata.
Article 17. Transfer
17.1 Customer may not transfer rights and obligations under the agreement without the prior written consent of Subsidies.io.
17.2 Subsidies.io may transfer claims against the Customer and transfer the agreement within the group or when transferring (parts of) the company.
Article 18. Changes
18.1 Subsidies.io may change these Terms and Conditions unilaterally. The amended General Terms and Conditions will take effect at the announced time or, failing that, by publication. Subscriptions are subject to changes upon renewal. If the Customer does not agree to a material change, he can cancel before extension.
Article 19. Nullity and interpretation
19.1 If a provision is void or unenforceable, the other provisions remain in full force and effect; the relevant provision will be replaced by a valid provision that comes as close to the scope as possible.
Article 20. Applicable law and forum
20.1 The agreement and these General Terms and Conditions are governed by Dutch law.
20.2 Disputes will be submitted exclusively to a competent court in Amsterdam.
